Terms of Service & Master Services Agreement

01. Agreement & Binding Acceptance

This Master Services Agreement ("Agreement") is entered into by and between Coldbrew Systems ("Company", "we", "us") and the individual or business entity subscribing to or purchasing our services ("Client", "you").

By completing a purchase via Stripe Checkout, checking the required terms acceptance box, or submitting data through our Client Data Portal, you agree to be bound by all terms, conditions, and operational policies set forth herein. If you are entering into this Agreement on behalf of a company, you represent that you have the legal authority to bind that entity.

02. Scope of Services & Service Tiers

Coldbrew Systems provisions software infrastructure, mathematical unit economic diagnostics, and executive advisory services designed to identify and remediate client cohort margin leaks.

03. Fees, 28-Day Recurring Billing & Cancellation Policy

• Setup Fees: One-time infrastructure deployment and setup fees are billed immediately upon checkout to cover custom workspace provisioning.
• 28-Day Recurring Retainers: Monthly retainers are billed automatically via Stripe every 28 days (4-week billing cycle, resulting in 13 billing periods annually) in advance of service delivery.
• Trial Periods: Where applicable, initial 30-day trial periods begin on the date of checkout. The first recurring 28-day billing cycle commences upon trial expiration.
• Cancellation & Retainer Pauses: To protect your grandfathered ROI fee tier and prevent service interruption, all subscription cancellations or retainer pause requests must be submitted directly through our Contact Us page prior to your next 28-day billing cycle. Requests submitted through third-party payment processors without prior internal notice remain subject to account de-provisioning and fee forfeiture.
• Refunds: Due to the immediate deployment of custom software assets and executive analysis upon order receipt, setup fees and completed billing cycles are non-refundable.

04. Data Security, Privacy & Intellectual Property

Confidentiality & Security: We treat all uploaded financial, revenue, marketing, and cost datasets as strictly confidential. Data transmitted through the Client Data Portal is processed solely to perform unit economic diagnostic calculations for your business.

Intellectual Property: Coldbrew Systems retains full ownership of all proprietary analytical algorithms, diagnostic software code, calculation engine formulas, and report compilation templates. Clients retain full ownership of all raw data uploaded to their private workspace.

05. Limitation of Liability & Disclaimers

Diagnostic reports and recommendations represent point-in-time mathematical analysis based on client-provided datasets. Coldbrew Systems does not provide formal legal, accounting, or tax advice. In no event shall Coldbrew Systems be liable for indirect, incidental, or consequential damages exceeding the total amount paid by Client during the preceding three (3) months.
